    • speed and performance optimization
    • migration of websites and hosting setup
    • technical troubleshooting and support

The exact scope for each Project is defined in

  • our written proposal
    • your accepted quote
    • Codeable scope of work
    • or any written agreement between you and DX LLC

We may update the description of Services on the Website at any time.

  1. Eligibility and Client Responsibilities

To use our Services you must

  • be at least eighteen years old
    • have the legal capacity to enter into contracts
    • provide accurate and complete information when requested

You agree to

  • cooperate with us and respond to messages in a reasonable time
    • provide all content, materials, access details and approvals needed for the Project
    • ensure that all content you provide is accurate, lawful and does not infringe rights of others

  1. Project Engagement and Workflow

Before a Project starts, we may

A Project is considered accepted when

    • you accept an offer on a platform like Codeable, or
    • you pay a requested deposit

During the Project

If you request changes that go beyond the original scope, they may be treated as additional work as described below.

  1. Fees, Invoices and Payments

You agree to pay all fees in the currency and under the conditions stated in the quote or platform.

Unless agreed otherwise

    • invoices are due upon receipt

For Projects through Codeable

  • payments, escrow and certain protections are handled within the Codeable system
    • you agree to follow their payment and dispute rules

Any taxes, bank fees, currency conversion costs or platform fees on your side are your responsibility unless explicitly stated otherwise.

  1. Changes in Scope and Additional Work

Project scope is based on what is clearly described and agreed at the start.

If you request

  • new features
    • new pages or templates
    • major design changes after approval
    • integration with additional third party services
    • extra consulting beyond the initial agreement

we may

  • provide an updated quote for the additional work, or
    • charge an agreed hourly or daily rate

We are not obligated to perform work that goes beyond the agreed scope unless both sides agree on additional terms and fees.

  1. Website Maintenance, Hosting and Access

If you purchase a maintenance or care plan, the exact services and limits are described in the plan details. A maintenance plan may include

  • regular updates of WordPress core, themes and plugins
    • basic security and uptime monitoring
    • backups
    • minor fixes or content updates within agreed limits

Unless agreed otherwise, maintenance plans

  • are provided as a best effort service
    • do not guarantee that there will never be downtime, security incidents or issues caused by third party updates

For migration and hosting setup

  • we may need administrative access to your current hosting account, domain registrar and WordPress installation
    • you are responsible for keeping your access credentials safe
    • you may revoke our access after the Project is completed

We are not a hosting company. Uptime, hardware issues, data center outages or network disruptions at your hosting provider are outside our control.

  1. Intellectual Property

9.1 Client Content

You retain ownership of all content you provide

  • text
    • images
    • logos
    • videos
    • trademarks
    • brand guidelines

You grant DX LLC a non exclusive, worldwide license to use such content only

  • to perform the Services
    • to display the finished work in our portfolio, unless you explicitly ask us in writing not to do so

You confirm that you have all rights needed to grant this license.

9.2 Project Deliverables

After full payment is received, and unless agreed otherwise, you receive

  • the right to use the final website design and implementation for your business
    • the right to use any custom code or templates created specifically for your Project

DX LLC may retain ownership of

  • development tools
    • internal frameworks
    • snippets and know how
    • reusable components

which may be used in other projects.

9.3 Open Source and Third Party Components

Websites built with WordPress and similar platforms rely on

  • open source software
    • commercial themes and plugins from third parties

Those components are provided under their own licenses.

You agree to comply with any license terms and purchase or renew any required licenses where applicable.

  1. Third Party Services and Integrations

Our work often involves integration with services such as

  • hosting providers
    • domain registrars
    • email delivery services
    • analytics tools
    • payment gateways
    • marketing platforms

We do not control these third parties and cannot guarantee their availability, performance or policies.

You are responsible for

  • creating accounts with these providers
    • paying their subscription or usage fees

We will make reasonable efforts to

  • deliver stable and functional solutions
    • follow industry good practice
    • fix issues that fall within the agreed scope

However, many factors are outside our control, including

  • hosting environment quality
    • third party plugins or themes
    • external services and APIs
    • content edited by you or your team after delivery

You use the Website and Services at your own risk.

Some jurisdictions do not allow certain disclaimers. In that case, this section applies only to the extent permitted by the law that governs your contract with us.

  1. Indemnification

You agree to indemnify and hold harmless DX LLC from and against any claims, damages, losses, liabilities, costs or expenses arising from

    • your violation of any law or third party right

This includes reasonable attorney fees and costs.

  1. Termination

Either party may terminate a Project or an ongoing service

  • if the other party materially breaches these Terms and does not cure the breach within a reasonable time after written notice, or
    • by mutual agreement

DX LLC may terminate or suspend Services immediately if

  • you repeatedly fail to pay invoices when due
    • you abuse our staff or act in bad faith
    • your Project involves illegal activity or content

Upon termination

  • you remain responsible for all fees for work already performed
    • any ongoing maintenance plans may be stopped
    • access we have to your systems should be revoked by you

Sections relating to payments owed, intellectual property, limitation of liability, indemnification and dispute resolution continue to apply even after termination.

  1. Governing Law and Jurisdiction

These Terms and any dispute related to them or to our Services are governed by

  • the laws of the State of Wyoming, United States of America
    • applicable federal laws of the United States

If you are a consumer resident in the European Union or another jurisdiction with mandatory consumer protection laws, you may also enjoy protection under the mandatory provisions of the law of your country of residence.

Any dispute that cannot be resolved amicably will be submitted to the competent courts located in the State of Wyoming, unless mandatory law gives you the right to bring the claim elsewhere.
